Terms of Service

The agreement between you and Outcome Engine AI when you use our service.

1. Agreement

These Terms of Service ("Terms") form a legal agreement between you (or the entity you represent) and Outcome Engine AI, operated by Fusion Advisory ("Outcome Engine," "we," "us"). By signing up, accessing, or using the Outcome Engine platform (the "Service"), you accept these Terms in full. If you do not accept, do not use the Service.

2. Your account

You must be at least 16 years old and have authority to bind the entity you represent. You are responsible for:

  • Maintaining the security of your sign-in credentials
  • All activity that occurs under your account, including actions by reps you invite to your workspace
  • Notifying us promptly of any suspected unauthorized access

Workspace admins are responsible for what their reps do inside the workspace, including what data is imported, what emails are sent through the platform, and what AI actions are confirmed.

3. Subscription + billing

3.1 Free tier

The Free plan is genuinely free: 2 seats, unlimited contacts and deals, the AI update modal with reasonable monthly limits, the drag-and-drop calendar, and 1 AI agenda per month. No credit card. Never expires.

3.2 Paid tiers

Paid plans (Pipeline, Outcome Suite, Magic Engine) are billed monthly or annually through Stripe. Current pricing is published at /pricing. Annual prepay saves approximately 20%. Seat minimums apply on Pipeline and Outcome Suite (see pricing page for current minimums).

3.3 Renewals + cancellation

Subscriptions auto-renew at the end of each billing period unless cancelled. Cancel anytime at /settings/billing. Cancellation takes effect at the end of the current paid period; you retain access until then. We do not auto-refund mid-period; if you cancel and want a prorated refund, email us within 7 days of cancellation and we'll evaluate on a case-by-case basis.

3.4 Past due + suspension

If a payment fails, we'll notify the workspace admin and exec sponsor. Workspaces remain fully functional for 7 days. After 7 days the workspace enters read-only grace mode for 23 more days (30 days total). At day 30, we suspend access. No data is deleted until the retention period in the Privacy Policy expires.

3.5 Price changes

We will notify customers of price changes at least 60 days before they take effect on existing subscriptions. Customers who do not accept the change may cancel effective at the start of the new pricing.

4. Acceptable use

You agree not to use the Service to:

  • Send unsolicited bulk email that violates CAN-SPAM, CASL, or GDPR
  • Send messages to recipients who have explicitly opted out or unsubscribed
  • Harass, defame, threaten, or stalk any person
  • Upload or transmit malware, ransomware, or any malicious code
  • Attempt to circumvent rate limits, AI quotas, or tenant isolation
  • Reverse-engineer, scrape, or systematically harvest data from the Service
  • Use the Service to compete with us or train a competing AI system on our outputs
  • Use the Service in violation of any applicable law

We may suspend or terminate accounts that violate acceptable use, with notice when practicable and immediately when not.

5. Customer data — your ownership

You own your data.All deals, contacts, companies, activities, files, and other content you create or import into the Service ("Customer Data") remains yours. We process Customer Data solely to provide the Service under your direction, as detailed in our Data Processing Addendum.

You may export all Customer Data at any time via /settings/export (JSON format covering every record). On termination, Customer Data is retained for the period specified in the Privacy Policy, then permanently deleted.

6. AI features — clarifications

  • No training on Customer Data. Customer Data is never used to train AI models — ours or our subprocessors'.
  • Outputs are yours. AI-generated content (proposal drafts, suggested next steps, email drafts) belongs to you, subject to the limitation that we do not warrant uniqueness — Claude may generate substantially similar outputs for other customers given similar inputs.
  • Human-in-the-loop is the default. AI suggestions are confirmed by a human before save. If your workspace policy bypasses confirmation in certain workflows (e.g., automated stage transitions on inbound replies), you accept responsibility for review of those automated actions.

7. Our intellectual property

Outcome Engine, the Service, the software, the brand, and all documentation are owned by us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription. We grant no other rights. Outputs you generate are excluded — those are yours per Section 6.

8. Service level + availability

We aim for 99.5% uptime on the Service. We do not offer a formal SLA with credits during the beta period. A standard SLA will ship alongside SOC 2 attestation in 2027. We publish operational status at /status.

Planned maintenance is communicated at least 24 hours in advance. Emergency maintenance may be unannounced. Our subprocessors' uptime is outside our control; extended Supabase or Vercel outages may cascade to our Service.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, we disclaim all warranties — express, implied, statutory — including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation. AI features are inherently probabilistic; you accept that AI output may contain errors and you are responsible for reviewing AI suggestions before acting on them.

10. Limitation of liability

To the maximum extent permitted by law, our total liability to you arising from or related to these Terms or the Service is limited to the amount you paid us in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if advised of the possibility.

Some jurisdictions do not allow these exclusions; in those jurisdictions our liability is limited to the greatest extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Outcome Engine from any third-party claim arising from: (a) your use of the Service in violation of these Terms, (b) your Customer Data infringing intellectual property or privacy rights of others, or (c) your violation of applicable law. We'll promptly notify you of any such claim and give you control of defense and settlement (subject to our reasonable approval).

12. Termination

You may terminate by cancelling your subscription. We may terminate for cause (acceptable-use violations, non-payment past 30 days, fraud) with notice when practicable. On termination, we follow the data retention rules in the Privacy Policy.

13. Changes to these Terms

We will notify customers of material changes to these Terms at least 30 days before they take effect. Routine changes are posted here with the "Last updated" date refreshed. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Miscellaneous

  • Governing law: These Terms are governed by the laws of the State of Delaware (United States), without regard to conflict-of-law principles.
  • Dispute resolution: Disputes are resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association. Either party may seek injunctive relief in court for IP or confidentiality matters.
  • Assignment: You may not assign these Terms without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.
  • Entire agreement: These Terms, together with the Privacy Policy and DPA, are the entire agreement between you and us regarding the Service.
  • Severability: If any provision is held unenforceable, the rest remains in effect.
